Profile

Robert H. Keenan

Chief Financial Officer

Rogers Oil and Gas Corp

30 Years of Oil and Gas Industry Experience

1. March 1986 – Nov 1986, created Keenan Oil Limited to act as operator of 2 exploratory (Bakken play) wells drilled in SE Sask at Midale and Macoun with Texoro Resources Ltd. (VSE) and Contact Ventures Ltd. (VSE) as joint venture partners, including such principals as Ted Turtin, Chairman and major shareholder of Canarim Investment Corp., predecessor to Canaccord Capital, and Richard Hughes, CEO of the Hughes Laing Group of Companies. Handled all reporting duties including AFE’s, monthly cash distributions, royalty and tax reporting requirements until the wells were capped or abandoned.

2. Feb. 1987 – April 1988, as Chief Financial Officer and Director of Pan Union Petroleum Corp. carried out the duties of raising the initial seed capital as well as setting up the accounting and regulatory reporting systems for this private going public company. Presented cash flow forecasts to the Geneva investment banker meetings as we moved forward to raise a European bond offering of US$ 25 million to complete the acquisition of North American Life’s Canadian oil & gas production. Due to market conditions in Oct. 1987 this project acquisition and financing failed to complete and the company discontinued operations in early 1988.
3. Sept. 1989 – Aug 1991, as Senior Corporate Administrator with a Cayman bank, I administered the monthly accounting and other duties of a privately held Saudi oil company related to the purchase and sale agreements for oil tanker shipments to a consortium of Japanese steel companies.

4. June 1996 – March 1997, as a Financial Advisor, I provided business advisory services to several public oil & gas companies in exchange for fees and options, including (1) Purcel Energy Ltd. (TSE) - Jan Alston, President, specifically related to their Fort Liard, NWT gas project, and (2) Eagle Energy Corp. (VSE) – Peter Foulkes, President, & their wholly-owned subsidiary, Eagle Holdings (Barbados) Limited, related to their El Biban Field, Tunisia holdings and their offshore structuring and capital financing requirements, prior to their merger into Centurion Energy International Inc. (TSE).

5. Feb. 2001 – Nov. 2006, as President & CEO, I created a public capital pool company, Landmark Capital Corp. (TSXV) which in Nov. 2003 completed its qualifying transaction as a Tier 2, oil & gas exploration and production company, Landmark Oil & Gas Corp. (TSXV) with its partnership interest in Pembina Cardium Unit #13, Tusk Energy Inc., as the operator. Starting in July 2004, we partnered with Storm Exploration Inc., (TSE), Rob Tiberio, Chief Operating Officer and created approx. 375 boed of oil & gas production at the peak, mainly from our 30% working interest in Storm’s core play at Parkland, BC. My various responsibilities included implementing all financial controls and accounting systems, as well as developing a team of technical and administrative staff that exceeded 10 members. In Nov. 2006, the Board decided on a new direction for the company and replaced me with a complete new management team and moved the operations from Kelowna, BC to Calgary. The new Board instituted an asset redeployment program which has since ended with the winding up of all of the company’s affairs.

6. Dec. 2006 – Feb 2008, as President & CEO, I created a private US based oil & gas exploration and production company, Dynasty Oil & Gas Inc., with interests in two plays in Texas. My responsibilities include handling all financial, legal, tax and corporate matters for this company, as well as seeking out and developing a US based management team for our 100% operated, Corsicana oil project.

7. March 16, 2008 – Present (November, 2009), as a Director and Chief Financial Officer of Rogers Oil & Gas Corp., Phoenix, Arizona and previously the Acting Chief Financial Officer for Rogers Associate Financial Partners Inc., (TSXV listed but not presently trading) Calgary, Alberta, I am directly responsible for the development of the group’s Bakken joint venture agreements and capital expenditure plans.
